{"id":2151,"date":"2017-08-31T12:41:59","date_gmt":"2017-08-31T15:41:59","guid":{"rendered":"https:\/\/ri-alliar2020.mz-sites.com\/noticias\/comunicado-ao-mercado-debentures\/"},"modified":"2022-07-04T16:43:11","modified_gmt":"2022-07-04T19:43:11","slug":"notice-to-the-market-debentures","status":"publish","type":"noticias","link":"https:\/\/ri.allianca.com\/en\/noticias\/notice-to-the-market-debentures\/","title":{"rendered":"Notice to the Market &#8211; Debentures"},"content":{"rendered":"<p><strong>Notice to the Market<\/strong><\/p>\n<p>&nbsp;<\/p>\n<p>Belo Horizonte, August 31, 2017 &#8211;\u00a0<strong>CENTRO DE IMAGEM DIAGN\u00d3STICOS S.A.<\/strong>\u00a0(&#8220;Company&#8221;), pursuant to article 157, paragraph 4 of Law 6,404\/76 and Instruction 358\/02 of the Brazilian Securities and Exchange Commission (&#8220;CVM&#8221;), and further to the material facts disclosed on July 21, 2017 and on August 1, 2017, hereby informs its shareholders and the market in general, in relation to its first issue of simple, non-convertible, unsecured debentures for public offering (&#8220;Debentures&#8221;), that the Bookbuilding Procedure registered demand for the totality of the offering. The number of securities to be issued is twenty-seven thousand (27,000) Debentures and the amount of the offering is two hundred and seventy million reais (R$270,000,000.00). It was defined: (i) the issuance of 16,850 first series Debentures, with maturity on September 1, 2020, under which remuneration rate is one hundred and sixteen percent (116%) of the accumulated variation of the average daily rates of one-day Interbank Deposits (DI), over extra grupo, based on two hundred and fifty-two (252) business days, calculated and disclosed by B3 &#8211; CETIP UTVM segment every day in the daily newsletter available on its website (<a href=\"http:\/\/www.cetip.com.br\/\">http:\/\/www.cetip.com.br<\/a>) (&#8220;DI Over Rate&#8221;); and (ii) the issuance of 10,150 second series Debentures, with maturity on September 1, 2022, under which remuneration rate is one hundred and eighteen percent (118%) of the DI Over Rate.<\/p>\n<p>For further information, please refer to the minutes of the Board of Directors\u2019 meeting held on July 21, 2017 and on August 1, 2017, available on the websites of the CVM (www.cvm.gov.br) or the Company (ir.alliar.com).
