Material Fact<\/strong><\/p>\n

CCENTRO DE IMAGEM DIAGN\u00d3STICOS S.A. (“Company”)<\/strong>\u00a0(B3: AALR3), in compliance with paragraph 4 of article 157 of Law 6404\/76 and Instruction 44\/2021 of the Brazilian Securities and Exchange Commission (“CVM<\/strong>“), hereby informs its shareholders and the market in general that received, on this date, from the representative of the shareholders of the Company\u2018s controlling block, signatories of the shareholders\u2018 agreement signed on August 20, 2021, as amended (respectively, “Shareholders\u2018 Agreement<\/strong>” and “Controlling Shareholders<\/strong>“), notice for disclosure to the market stating that, in the form and in accordance with the applicable provisions of the Shareholders\u2018 Agreement, the Controlling Shareholders resolved to accept the proposal for the acquisition of up to the totality of the shares issued by the Company held by the Controlling Shareholders for the price per share of BRL 20.50. The proposal was sent on the 18th of November 2021 by MAM ASSET MANAGEMENT GESTORA DE RECURSOS LTDA. (“MAM<\/strong>“), CNPJ\/ME under No. 21.180.163\/0001-73, as manager of the investment fund Fonte de Sa\u00fade Fundo de Investimento em Participa\u00e7\u00f5es Multiestrat\u00e9gia, holder of a shareholding representing 27.87% in the capital of the Company. The content of that notice is attached to this material fact.<\/p>\n
