Material Fact<\/strong><\/p>\n

CCENTRO DE IMAGEM DIAGN\u00d3STICOS S.A. (“Company”)<\/strong>\u00a0(B3: AALR3), i(B3: AALR3), in compliance with paragraph 4 of article 157 of Law 6404\/76 and Instruction 44\/2021 of the Brazilian Securities and Exchange Commission (“CVM”), hereby informs its shareholders and the market in general that received, on this date, from the representative of the shareholders of the Company\u2018s controlling block, signatories of the shareholders\u2018 agreement signed on August 20, 2021, as amended (respectively, “Shareholders\u2018 Agreement<\/strong>” and “Controlling Shareholders<\/strong>“), notice to disclosure to the market informing that MAM ASSET MANAGEMENT GESTORA DE RECURSOS LTDA. (“MAM<\/strong>“), Corporate Taxpayer\u2018s ID (CNPJ\/ME) 21.180.163\/0001-73, as the manager of the investment fund Fonte de Sa\u00fade Fundo de Investimento em Participa\u00e7\u00f5es Multiestrat\u00e9gia, has submitted, on this date, a binding proposal directed to the Controlling Shareholders to acquire up to the totality of the shares issued by the Company held by the Controlling Shareholders, for the price per share of R$ 20.50 (twenty reais and fifty cents), thus each Controlling Shareholder may choose the number of shares it intends to sell (“Proposal<\/strong>“). The Proposal is valid until November 26, 2021.<\/p>\n

Additionally, according to the information received by the Company, the Controlling Shareholders shall meet, subject to the formalities established in their Shareholders\u2018 Agreement, to resolve on the Proposal within the validity period of the Proposal, that is, November 26, 2021.<\/p>\n

The Company reiterates its commitment to keep the market informed about relevant facts and acts, in compliance with applicable regulations.<\/p>\n
