ALLIAN\u00c7A SA\u00daDE E PARTICIPA\u00c7\u00d5ES S.A.\u00a0<\/strong>(\u201cCompany\u201d or \u201cAllian\u00e7a\u201d) (B3: AARL3), pursuant to art. 157, \u00a7 4, of Law No. 6,404, of December 15, 1976, as amended, the provisions of the Resolution of the Brazilian Securities and Exchange Commission (\u201cCVM\u201d) no. 44, of August 23, 2021, CVM Resolution no. 85, of March 31, 2022 (\u201cCVM Resolution 85\u201d), and in continuity with the Material Facts disclosed on March 17 and July 10, 2023 and the Notice to the Market disclosed on June 30, 2023, the Company hereby informs its shareholders and the market in general, within the scope of the tender offer due to the sale of the Company\u2019s corporate control (\u201cTender Offer\u201d) that, pursuant to article 14, caput, of CVM Resolution 85, the Tender Offer Notice has been disclosed today, with detailed information on the Tender Offer procedure and the date of the Auction, which is scheduled to take place on August 11, 2023, at 15:00.<\/p>\n
