{"id":2611,"date":"2023-08-08T19:34:04","date_gmt":"2023-08-08T22:34:04","guid":{"rendered":"https:\/\/ri.allianca.com\/?post_type=noticias&#038;p=2611"},"modified":"2023-08-08T19:34:04","modified_gmt":"2023-08-08T22:34:04","slug":"material-fact-opa-notice-public-tender-offer-for-ordinary-shares-2","status":"publish","type":"noticias","link":"https:\/\/ri.allianca.com\/en\/noticias\/material-fact-opa-notice-public-tender-offer-for-ordinary-shares-2\/","title":{"rendered":"Material Fact &#8211; Acquisition of Offer Notice Shares"},"content":{"rendered":"<p><strong>ALLIAN\u00c7A SA\u00daDE E PARTICIPA\u00c7\u00d5ES S.A.\u00a0<\/strong>(\u201cCompany\u201d or \u201cAllian\u00e7a\u201d) (B3: AARL3), in compliance with art. 157, \u00a74\u00ba, of Law no. 6,404, of December 15, 1976, as amended, and with the provisions of the Resolution of the Brazilian Securities and Exchange Commission n\u00ba 44, of August 23, 2021, and, in continuity with the Material Facts disclosed on March 17 and July 10 and 12, 2023, and the Notices to the Market disclosed on July 27 and June 30, 2023, informs its shareholders and the market in general, within the scope of the tender offer due to the sale of the Company\u2019s corporate control (\u201cOffer\u201d) that, pursuant to Item 2.11 of the Offer Notice, Fonte de Sa\u00fade Fundo de Investimento em Participa\u00e7\u00f5es Multiestrat\u00e9gia (&#8220;Fonte de Sa\u00fade FIP&#8221;), and Lormont Participa\u00e7\u00f5es S. A. (&#8220;Lormont&#8221; and, together with Fonte de Sa\u00fade FIP, &#8220;Offerors&#8221;), informed, on this date, that Lormont will acquire 100% of the Offer Shares (as defined in the Offer Notice) that are sold in the Offer Auction, that is, up to 43,992,692 (forty-three million, nine hundred and ninety-two thousand, six hundred and ninety-two) shares issued by Allian\u00e7a.
