{"id":2626,"date":"2023-08-11T20:52:08","date_gmt":"2023-08-11T23:52:08","guid":{"rendered":"https:\/\/ri.allianca.com\/?post_type=noticias&#038;p=2626"},"modified":"2023-08-11T20:52:08","modified_gmt":"2023-08-11T23:52:08","slug":"material-fact-result-tender-offer-auction","status":"publish","type":"noticias","link":"https:\/\/ri.allianca.com\/en\/noticias\/material-fact-result-tender-offer-auction\/","title":{"rendered":"Material Fact &#8211; Result Tender Offer Auction"},"content":{"rendered":"<p><strong>ALLIAN\u00c7A SA\u00daDE E PARTICIPA\u00c7\u00d5ES S.A.<\/strong> (&#8220;<u>Company<\/u>&#8221; or &#8220;<u>Allian\u00e7a<\/u>&#8220;) (B3: AARL3), in compliance with art. 157, \u00a74\u00ba, of Law no. 6,404, of December 15, 1976, as amended, and with the provisions of the Resolution of the Brazilian Securities and Exchange Commission n\u00ba. 44, of August 23, 2021, and, in continuity with the Material Facts disclosed on March 17, July 10 and 12, and August 8, 2023, and the Notices to the Market disclosed on July 27 and June 30, 2023, informs its shareholders and the market in general, of the result of the tender offer due to the sale of the Company\u2019s corporate control\u2019s (\u201c<u>Offer<\/u>\u201d) auction, held on this date through B3\u2019s Electronic Trading Platform (\u201c<u>Auction<\/u>\u201d).<\/p>\n<p>As a result of the Auction, Lormont Participa\u00e7\u00f5es S.A. (\u201c<u>Lormont<\/u>\u201d) acquired 36,293,963 common shares issued by the Company, representing 30.68% of the Company&#8217;s share capital. The common shares were acquired at the price of R$ R$ 24,55, totaling the amount of R$ 891,016,792.00 (eight hundred and ninety-one million, sixteen thousand, seven hundred and ninety-two reais).
