{"id":3009,"date":"2025-04-29T15:02:39","date_gmt":"2025-04-29T18:02:39","guid":{"rendered":"https:\/\/ri.allianca.com\/?post_type=noticias&#038;p=3009"},"modified":"2025-12-12T15:05:52","modified_gmt":"2025-12-12T18:05:52","slug":"material-fact-changes-to-the-composition-of-the-companys-board-of-directors-and-executive-board","status":"publish","type":"noticias","link":"https:\/\/ri.allianca.com\/en\/noticias\/material-fact-changes-to-the-composition-of-the-companys-board-of-directors-and-executive-board\/","title":{"rendered":"Material Fact &#8211; Changes to the composition of the Company&#8217;s Board of Directors and Executive Board"},"content":{"rendered":"<p style=\"text-align: justify\"><strong>ALLIAN\u00c7A SA\u00daDE E PARTICIPA\u00c7\u00d5ES S.A.<\/strong> (\u201c<span style=\"text-decoration: underline\">Company<\/span>\u201d or \u201c<span style=\"text-decoration: underline\">Allian\u00e7a<\/span>\u201d) (B3: AALR3), in accordance with the provisions of art. 157, 4th paragraph of Law No. 6,404 of December 15, 1976, as amended, and in CVM Resolution No. 44, of August 23, 2021, as amended, hereby informs its shareholders and the market in general that the composition of the Company&#8217;s Board of Directors and Executive Board has been changed, as resolved at the Extraordinary and Ordinary General Meeting held on April 29, 2025 at 11:30 a.m., and at the Board of Directors Meeting held on April 29, 2025 at 5:30 p.m., respectively.<\/p>\n<p style=\"text-align: justify\">The change in the Company&#8217;s management is aligned with the Strategic Plan for Continuous Efficiency and Growth and aims to make the Corporate Governance structure more efficient and agile.<\/p>\n<p style=\"text-align: justify\">With a term of office until the Ordinary General Meeting for approval of the management accounts for the fiscal year 2026, the Company&#8217;s Board of Directors will be composed of (a) Isabella de Queiroz Sequeiros Tanure Correa \u2013 Chairman of the Board; (b) Pedro de Moraes Borba \u2013 Vice Chairman; (c) Pedro Grossi J\u00fanior \u2013 Independent Board Member; (d) Marcos del Corona Marcos \u2013 Independent Director; and (e) Karla Maciel Dolabella &#8211; Director.<\/p>\n<p style=\"text-align: justify\">The Company&#8217;s Board of Directors is now composed of (a) Ricardo de Magalh\u00e3es Sartim \u2013 Chief Executive Officer; (b) Pedro Capobianco Gibbon \u2013 Chief Financial and Investor Relations Officer; (c) Jos\u00e9 Luiz Mendes Ramos J\u00fanior \u2013 Chief Legal and Compliance Officer.
