(\u201cCompany\u201d or \u201cAllian\u00e7a\u201d) (B3: AARL3), pursuant to article 157, paragraph 4, of Law No. 6,404, of December 15, 1976, as amended, and Securities and Exchange Commission Resolution No. 44, of August 23, 2021, as amended, hereby informs its shareholders and the market in general, the following.<\/p>\n<p style=\"text-align: justify\">Further to the Material Facts disclosed on May 8 and 31, 2024, the Company informs that it has entered into a recission agreement with Fonte de Sa\u00fade Fundo de Investimento Participa\u00e7\u00f5es Multiestrat\u00e9gia, on this date, regarding the Exchange Agreement originally entered into on May 3, 2024.<\/p>\n<p style=\"text-align: justify\">In addition, in continuity with the Material Fact disclosed on August 24, 2023, the Company informs that it has also entered into a recission agreement with Credit Suisse (Brasil) S.A.
