{"id":3023,"date":"2024-05-08T16:01:51","date_gmt":"2024-05-08T19:01:51","guid":{"rendered":"https:\/\/ri.allianca.com\/?post_type=noticias&#038;p=3023"},"modified":"2025-12-12T16:03:40","modified_gmt":"2025-12-12T19:03:40","slug":"material-fact-execution-of-the-share-participation-swap-agreement","status":"publish","type":"noticias","link":"https:\/\/ri.allianca.com\/en\/noticias\/material-fact-execution-of-the-share-participation-swap-agreement\/","title":{"rendered":"Material Fact &#8211; Execution of the &#8220;Share Participation Swap Agreement&#8221;"},"content":{"rendered":"<p style=\"text-align: justify\"><strong>ALLIAN\u00c7A<\/strong> <strong>SA\u00daDE<\/strong> <strong>E PARTICIPA\u00c7\u00d5ES<\/strong><strong> S.A. <\/strong>(\u201cCompany\u201d or \u201cAllian\u00e7a\u201d) (B3: AARL3), pursuant to article 157, paragraph 4, of Law No. 6404, of December 15, 1976, as amended, and Securities and Exchange Commission Resolution No. 44, of August 23, 2021, as amended. 44, of August 23, 2021, as amended, hereby informs its shareholders and the market in general of the signing of the \u201cShareholding Exchange Agreement\u201d (\u201cExchange Agreement\u201d), with Fonte de Sa\u00fade Fundo de Investimento Participa\u00e7\u00f5es Multiestrat\u00e9gia (\u201cFIP\u201d), through which it undertook to exchange all of the shareholdings held by the Company in Enleva Participa\u00e7\u00f5es em Sa\u00fade Ltda, Enleva Sa\u00fade Rond\u00f4nia SPE S.A., RMTC Diagn\u00f3sticos por Imagem Ltda., RMTC Solu\u00e7\u00f5es e Desenvolvimento Ltda. and Alian\u00e7a Benef\u00edcios e Servi\u00e7os Ltda. (together, the \u201cAllian\u00e7a Companies\u201d) for the entire equity interest held by the FIP in Hemera Servi\u00e7os M\u00e9dicos e Holding S.A. (\u201cHemera\u201d and \u201cExchange\u201d, respectively).<\/p>\n<p style=\"text-align: justify\">The Share Exchange is part of the Company&#8217;s business plan, as it represents a further step towards specializing the Company&#8217;s activity in the specific segment of diagnostic medicine and clinical analysis, mainly aimed at serving health operators, insurers and cooperatives, as well as expanding the Company&#8217;s operational capacity and expanding its activities in the health market in the state of Rio de Janeiro.<\/p>\n<p style=\"text-align: justify\">The holdings held by Allian\u00e7a in the Allian\u00e7a Companies and by the FIP in Hemera were evaluated by a specialized company, for the purposes of negotiation and determining the economic value of the assets exchanged.
