or &#8220;Allian\u00e7a&#8221;) <\/span><\/span><span data-path-to-node=\"7,4\"><span class=\"citation-182\">, in compliance with the provisions of CVM Resolution No. 44\/2021 and CVM Resolution No. 133\/2022 and in addition to the Notice to the Market published on September 6, 2023 <\/span><\/span><span data-path-to-node=\"7,7\"><span class=\"citation-181\">, informs its shareholders and the market in general that it has concluded negotiations with UNIMED NACIONAL &#8211; COOPERATIVA CENTRAL (&#8220;Unimed Nacional&#8221;) <\/span><\/span><span data-path-to-node=\"7,10\"><span class=\"citation-180\">, as well as signed, on this date, an Investment Agreement and Other Covenants (&#8220;Agreement&#8221;) <\/span><\/span><span data-path-to-node=\"7,13\"><span class=\"citation-179\">for the creation of laboratories for the processing of clinical analysis exams, known in the health segment as N\u00facleo T\u00e9cnico Operacional (&#8220;NTO&#8221;) <\/span><\/span><span data-path-to-node=\"7,16\"><span class=\"citation-178\">in the State of Bahia <\/span><\/span><span data-path-to-node=\"7,19\"><span class=\"citation-177\">, more specifically in the following cities Cama\u00e7ari, Candeias, Dias D&#8217;Avila, Lauro de Freitas, Salvador, and Sim\u00f5es Filho<\/span><\/span><span data-path-to-node=\"7,21\">.<\/span><\/p>\n<p style=\"text-align: justify\" data-path-to-node=\"8\"><span data-path-to-node=\"8,1\"><span class=\"citation-176\">The execution of the Agreement with Unimed Nacional is in line with the Company&#8217;s strategic plan <\/span><\/span><span data-path-to-node=\"8,4\"><span class=\"citation-175\">and will increase the volume of revenue from clinical analysis exams carried out at Allian\u00e7a <\/span><\/span><span data-path-to-node=\"8,7\"><span class=\"citation-174\">, as well as increase the capillarity of Delfin brand collection points, located in the Northeast region of the country<\/span><\/span><span data-path-to-node=\"8,9\">.<\/span><\/p>\n<p style=\"text-align: justify\" data-path-to-node=\"9\"><span data-path-to-node=\"9,1\"><span class=\"citation-173\">The Agreement also provides for the transformation of a limited liability company to a joint stock company of one of Allian\u00e7a&#8217;s subsidiary <\/span><\/span><span data-path-to-node=\"9,4\"><span class=\"citation-172\">, provisionally named Rifeu Participa\u00e7\u00f5es e Investimentos Ltda. <\/span><\/span><span data-path-to-node=\"9,6\"> (&#8220;Vehicle&#8221;) <\/span><span data-path-to-node=\"9,10\"><span class=\"citation-170\">, which will have its share capital formed exclusively by common shares and a 49% stake in the voting share capital held by Unimed Nacional<\/span><\/span><span data-path-to-node=\"9,12\">.<\/span><\/p>\n<p style=\"text-align: justify\" data-path-to-node=\"10\"><span data-path-to-node=\"10,1\"><span class=\"citation-169\">The Vehicle will be a holding company holding investments in subsidiaries created with the specific purpose of creating and operating NTOs, initially located in the Northeast region of the country<\/span><\/span><span data-path-to-node=\"10,3\">.<\/span><\/p>\n<p style=\"text-align: justify\" data-path-to-node=\"11\">Among the conditions precedent, the Parties must have:<\/p>\n<ul style=\"text-align: justify\" data-path-to-node=\"12\">\n<li>\n<p data-path-to-node=\"12,0,0\"><span data-path-to-node=\"12,0,0,0\">(a) <\/span><span data-path-to-node=\"12,0,0,2\"><span class=\"citation-168\">completed the negotiation of documents ancillary to the Agreement, such as a cost and expense sharing agreement related to the Vehicle&#8217;s backoffice structure<\/span><\/span><span data-path-to-node=\"12,0,0,4\">;<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"12,1,0\"><span data-path-to-node=\"12,1,0,0\">(b) <\/span><span data-path-to-node=\"12,1,0,2\"><span class=\"citation-167\">formalization of the service provision contract and NTO accreditation<\/span><\/span><span data-path-to-node=\"12,1,0,4\">;
