ALLIANÇA SAÚDE E PARTICIPAÇÕES S.A. (“Company” or “Alliança“) (B3: AARL3), in compliance with art. 157, §4º, of Law no. 6,404, of December 15, 1976, as amended, and with the provisions of the Resolution of the Brazilian Securities and Exchange Commission nº. 44, of August 23, 2021, and, in continuity with the Material Facts disclosed on March 17, July 10 and 12, and August 8, 2023, and the Notices to the Market disclosed on July 27 and June 30, 2023, informs its shareholders and the market in general, of the result of the tender offer due to the sale of the Company’s corporate control’s (“Offer”) auction, held on this date through B3’s Electronic Trading Platform (“Auction”).
As a result of the Auction, Lormont Participações S.A. (“Lormont”) acquired 36,293,963 common shares issued by the Company, representing 30.68% of the Company’s share capital. The common shares were acquired at the price of R$ R$ 24,55, totaling the amount of R$ 891,016,792.00 (eight hundred and ninety-one million, sixteen thousand, seven hundred and ninety-two reais). In addition, no shares were linked to the 2024 Put Option, according to the Offer Notice’s terms.
After the Offer’s financial settlement, which will be held on August 15, 2023, Fonte de Saúde Fundo de Investimento em Participações Multiestratégia and Lormont will hold 110.381.273 common shares issued by the Company, which is approximately equivalent to 93,31% of the Company’s total share capital.
Finally, the Company will keep its shareholders and the market in general informed of any split related to the Offer.
