Jose Luiz Mendes Ramos Junior. Jose Luiz Mendes Ramos Junior is a lawyer and has held the position of Chief Legal and Compliance Officer since July 20, 2022. He is a graduate of Mackenzie Presbyterian University and has a specialization degree in Tax Law from the Getúlio Vargas Foundation (FGV), where he also attended an extension course in Compliance. Jose Luiz has more than 10 years’ experience managing highly complex legal matters, including new business formation, restructuring transactions and acquisition of companies. He also was actively engaged in capital-raising processes through structured operations in the capital markets to finance real estate projects. Jose Luiz informed the Company that he is not subject to any criminal conviction, CVM administrative proceeding, or any final and unappealable conviction at the judicial or administrative level, which has either suspended or prohibited him from engaging in any professional or commercial activity. Jose Luiz informed for all purposes that he does not consider himself a politically exposed person, pursuant to CVM Instruction 301 of April 16, 1999, as amended.

João de Saint Brisson Paes de Carvalho holds a degree in Business Administration from UFRJ, an MBA from the Amos Tuck School of Business Administration (Dartmouth College, USA), and a Master’s degree in Environmental Engineering from UFRJ.

Throughout his career, he has built extensive experience in management, finance, and corporate governance, with relevant roles on the Boards of Directors and Fiscal Councils of several companies in Brazil.

He is currently engaged in consulting and business structuring activities through BiznessBrazil, focusing on strategic planning, financial analysis, and business development.

Over the course of his career, he has served on the Boards of Directors of companies such as PDG Realty S.A., Infracommerce CXaaS S.A., Companhia Muller de Bebidas S.A., and Dommo Energia.

Mr. João has informed the Company that he has no criminal convictions, nor has he been subject to any administrative proceeding before the Brazilian Securities and Exchange Commission (CVM) or any final and unappealable judicial or administrative decision that would have suspended or disqualified him from carrying out any professional or commercial activity. Mr. João has further declared, for all purposes, that he does not consider himself a politically exposed person, pursuant to CVM Instruction No. 301, dated April 16, 1999, as amended.
