Jose Luiz Mendes Ramos Junior. Jose Luiz Mendes Ramos Junior is a lawyer and has held the position of Chief Legal and Compliance Officer since July 20, 2022. He is a graduate of Mackenzie Presbyterian University and has a specialization degree in Tax Law from the Getúlio Vargas Foundation (FGV), where he also attended an extension course in Compliance. Jose Luiz has more than 10 years’ experience managing highly complex legal matters, including new business formation, restructuring transactions and acquisition of companies. He also was actively engaged in capital-raising processes through structured operations in the capital markets to finance real estate projects. Jose Luiz informed the Company that he is not subject to any criminal conviction, CVM administrative proceeding, or any final and unappealable conviction at the judicial or administrative level, which has either suspended or prohibited him from engaging in any professional or commercial activity. Jose Luiz informed for all purposes that he does not consider himself a politically exposed person, pursuant to CVM Instruction 301 of April 16, 1999, as amended.

Isabella Tanure Correa. Ms. Isabella Tanure Correa is a doctor and entrepreneur, with a large experience in health management. She is currently a partner and Executive Officer at Fonte Imagem Medicina Diagnóstica and Prevtotal Laboratório de Imagem, having participated in and supported the business development since 2012. Fonte Imagem is currently recognized as a reference clinic in diagnostic medicine in Rio de Janeiro. She is a partner in the Telemedicine Project in partnership with a TIM and the Municipal Government of Rio de Janeiro (2010-2011).

Pedro de Moares Borba. Mr. Pedro de Moraes Borba earned an undergraduate degree in Law from the Pontifical Catholic University of the Rio de Janeiro State and a graduate degree in Corporate Law from Fundação Getúlio Vargas/RJ. He has experience in the private sector with a focus on diverse economic activities, mainly in mining, infrastructure, oil and gas, energy, steelmaking, logistics, real estate, and entertaining areas, among others. He worked as an executive or lawyer in M&As, court-supervised reorganization and turnaround, project finance, corporate finance, private equity, contracts, and real estate operations, providing consulting services in business strategies, and project development. He has already been a Board of Directors member at EBX Brasil S.A., Centennial Asset Participações Açu S.A., MMX Mineração e Metálicos S.A., Dommo Energia S.A., OSX Brasil S.A., CCX Carvão da Colombia S.A., and Casa & Video Rio de Janeiro S.A. He has also been a Chief Legal Officer at EBX Holding Ltda., and a CEO and Investor Relations Officer at MMX Mineração e Metálicos S.A., Dommo Energia S.A., OSX Brasil S.A., and CCX Carvão da Colombia S.A. He is currently an Executive Officer at Docas Investimentos Ltda. Mr. Pedro de Moraes Borba declared, for all legal purposes, that in the last five years he has not received any criminal conviction, any conviction or sentence in an administrative proceeding before the CVM, or any final and unappealable sentence, at the judicial or administrative levels, that suspended or prevented him from performing any professional or commercial activity. Furthermore, Mr. Pedro de Moraes Borba declared that, under applicable legislation, he is not considered a politically exposed person, under CVM Instruction 301, of April 16, 1999, as amended.

Marcos del Corona Marcos. Mr. Marcos del Corona Marcos earned an undergraduate degree in Electric Engineering from Mackenzie São Paulo and an MBA from Fundação Dom Cabral. He has more than 35 years of experience in the health segment and worked at global companies in the medical area and with important relationships in hospitals and with service providers in Brazil and Latin America. From 2014 to 2020, he was the General Director of GE’s Healthcare Division in Brazil, having started working at the company in 1998 as a Regional Sales Manager, and further being promoted to General Director of Brazil, General Director of Latin America, and General Director of Diagnostic Imaging Medicine of Latin America, all these positions in GE’s Healthcare Division. Mr. Marcos del Corona Marcos declared, for all legal purposes, that in the last five years he has not received any criminal conviction, any conviction or sentence in an administrative proceeding before the CVM, or any final and unappealable sentence, at the judicial or administrative levels, that suspended or prevented him from performing any professional or commercial activity. Furthermore, Mr. Marcos del Corona Marcos declared that, under applicable legislation, he is not considered a politically exposed person, under CVM Instruction 301, of April 16, 1999, as amended.

Pedro Grossi Junior. Mr. Pedro Grossi Junior is a lawyer with extensive experience in the public and private sectors. He was an advisor to Minister Antonio Delfin Neto in the Ministries of Agriculture and Planning and a Secretary of the Parliamentary Affairs Secretariat in the Ministry of Finance during the office of Minister Francisco Dornelles. President of Embratur, Vice-President of Telerj, Vice-President of Jornal O Dia, and Director of Jornal do Brasil. He was a Board of Directors member in several companies, such as PetroRio S.A., Paranapanema, Light, Furnas, Caraíba Metais, and Peixoto de Castro.

Karla Maciel Dolabella. Ms. Karla graduated from UFRG (Federal University of Rio Grande), with an MBA from INSPER and a specialization degree in Economics and Finance from Columbia Business School. She holds a certificate in the International Module ‘Innovation and Entrepreneurship’ Programme from the University of Cambridge and Financial Modeling and Valuation from FK Partners, as well as a Specialization degree in Corporate Governance from IBGC (Brazilian Institute of Corporate Governance). Ms. Karla has served as CFO, IRO, and CEO of a listed company and currently holds the position of Management Director at an Investment Bank. Additionally, Ms. Karla has a professional background with companies such as Pátria Investments, EY, Triunfo Participações, and Bunge.
