(“Company” or “Alliança”) (B3: AARL3), pursuant to article 157, paragraph 4, of Law No. 6,404, of December 15, 1976, as amended, and Securities and Exchange Commission Resolution No. 44, of August 23, 2021, as amended, hereby informs its shareholders and the market in general, the following.
Further to the Material Facts disclosed on May 8 and 31, 2024, the Company informs that it has entered into a recission agreement with Fonte de Saúde Fundo de Investimento Participações Multiestratégia, on this date, regarding the Exchange Agreement originally entered into on May 3, 2024.
In addition, in continuity with the Material Fact disclosed on August 24, 2023, the Company informs that it has also entered into a recission agreement with Credit Suisse (Brasil) S.A. Corretora de Títulos e Valores Mobiliários to terminate the market maker agreement.
The Company will keep its shareholders and the market informed of any new facts regarding the Exchange.
