Material Fact
CCENTRO DE IMAGEM DIAGNÓSTICOS S.A. (“Company”) (B3: AALR3), in compliance with paragraph 4 of article 157 of Law 6404/76 and Instruction 44/2021 of the Brazilian Securities and Exchange Commission (“CVM“), hereby informs its shareholders and the market in general that received, on this date, from the representative of the shareholders of the Company‘s controlling block, signatories of the shareholders‘ agreement signed on August 20, 2021, as amended (respectively, “Shareholders‘ Agreement” and “Controlling Shareholders“), notice for disclosure to the market stating that, in the form and in accordance with the applicable provisions of the Shareholders‘ Agreement, the Controlling Shareholders resolved to accept the proposal for the acquisition of up to the totality of the shares issued by the Company held by the Controlling Shareholders for the price per share of BRL 20.50. The proposal was sent on the 18th of November 2021 by MAM ASSET MANAGEMENT GESTORA DE RECURSOS LTDA. (“MAM“), CNPJ/ME under No. 21.180.163/0001-73, as manager of the investment fund Fonte de Saúde Fundo de Investimento em Participações Multiestratégia, holder of a shareholding representing 27.87% in the capital of the Company. The content of that notice is attached to this material fact.
