ALLIANÇA SAÚDE E PARTICIPAÇÕES S.A. (“Company” or “Alliança”) (B3: AARL3), pursuant to art. 157, § 4, of Law No. 6,404, of December 15, 1976, as amended, and the provisions of CVM Resolution No. 44, of August 23, 2021, as amended, hereby inform its shareholders and the market in general, in line with the strategic plan to diversify its portfolio of services in the health area and expand operations nationwide, the Company formed the Consórcio Saúde Rondônia (“Consortium”) with a 70% stake held by Alliança and 30% of the remaining stake by Proinvest, possessing extensive experience in hospital management and holder of the Public Private Partnership of Hospital do Subúrbio, located in the State of Bahia.
On the present date, the Consortium participated in the Public-Private Partnership (“PPP”) bidding auction, held at B3 S.A. – Brasil, Bolsa, Balcão, in the form of an administrative concession for equipping and providing hospital management services for the HEURO Hospital de Urgência e Emergência Regional de Cacoal – Rondônia (“Concession” and “HEURO”), including the provision of medical services ( known as white coat), and its financial proposal was recognized as the best presented one in the binding, one of the necessary steps for signing the Concession contract.
The Concession will be valid for 30 years, with a total consideration for the Consortium of R$ 10.1 billion in this period.
The Company emphasizes that the result of the auction and the consequent execution of the Concession contract is still subject to homologation and adjudication by the Secretary of State for Health of Rondônia (SESAU).
Finally, the Company will keep shareholders and the market in general informed about any evolution related to the matter.
