CENTRO DE IMAGEM DIAGNOSTICA S.A. (“Company” or “Alliar”) (B3: AALR3), pursuant to art. 157, §4, of Law no. 6,404, of December 15, 1976, as amended, and the provisions of CVM Resolution n. 44, of August 23, 2021, in continuity with the Relevant Facts disclosed on February 14 and 24, 2023, hereby informs its shareholders and the market in general that it has received, on this date, a communication from Fonte de Saúde FIP Multiestratégia (” Offeror”) with a statement regarding the rejection of the request for registration of the Tender Offer for Acquisition of Shares for Sale of Control of the Company (“OPA”), informed by the Securities Registration Superintendence (“SRE”) of the Securities Commission (“CVM”) through Official Letter 43/2023/CVM/SRE/GER-1.
According to the Offeror‘s statement, all necessary measures are already being taken to promptly fill the only requirement that was pending in the OPA registration process, referring to the contracting of the new intermediary institution. As soon as said contract is concluded, the Offeror will immediately re-submit the OPA registration request with the CVM.
The Offeror further committed to keep the Company, shareholders and the market in general informed about the effectiveness of the contracting of the new intermediary institution and the date on which the new OPA registration request will be filed.
