ALLIANÇA SAÚDE E PARTICIPAÇÕES S.A. (“Company” or “Alliança”) (B3: AARL3), in compliance with art. 157, §4º, of Law no. 6,404, of December 15, 1976, as amended, and with the provisions of the Resolution of the Brazilian Securities and Exchange Commission nº 44, of August 23, 2021, and, in continuity with the Material Facts disclosed on March 17 and July 10 and 12, 2023, and the Notices to the Market disclosed on July 27 and June 30, 2023, informs its shareholders and the market in general, within the scope of the tender offer due to the sale of the Company’s corporate control (“Offer”) that, pursuant to Item 2.11 of the Offer Notice, Fonte de Saúde Fundo de Investimento em Participações Multiestratégia (“Fonte de Saúde FIP”), and Lormont Participações S. A. (“Lormont” and, together with Fonte de Saúde FIP, “Offerors”), informed, on this date, that Lormont will acquire 100% of the Offer Shares (as defined in the Offer Notice) that are sold in the Offer Auction, that is, up to 43,992,692 (forty-three million, nine hundred and ninety-two thousand, six hundred and ninety-two) shares issued by Alliança. Thus, Fonte de Saúde FIP will not acquire shares within the scope of the Offer, since Lormont will acquire all the shares that may be sold.
Finally, the Company will keep its shareholders and the market in general informed of any developments related to the matter, in accordance with applicable laws and regulations.
